Terms and Condition

Welcome to our standard agreement, carefully crafted to provide you with peace of mind while collaborating with us.

This agreement solidifies the following key points:

 

1. Parties Involved: This agreement is established between you, referred to as the "Client," "You," or "Your," and Webs For Free LLC ("Company"), a limited liability company conducting business as Websforfree, which operates from websforfree. The Company is not obligated to provide website creation services but will abide by the terms outlined in this Agreement if such services are agreed upon.

 

2. Intellectual Property Ownership: All intellectual property created for your website will rightfully belong to you, and your website will be fully under your ownership. You retain the freedom to cancel services with your web hosting provider according to their specific cancellation terms.

 

3. Term of Agreement: This Agreement becomes effective on the Effective Date and remains in force until either the Services are completed or until terminated as specified herein. Upon termination, the Company will cease all Services for the Client.

 

4. Complimentary Services: The Services are provided to the Client on a complimentary basis at the discretion of the Company.
No charges for Services will apply unless otherwise agreed upon through email correspondence. The Company may suggest signing up with its preferred web hosting providers through affiliate links, where the Company may receive a commission.

 

5. Protection of Intellectual Property: The website created by the Company for the Client will be the Client's sole property, with no ownership rights retained by the Company. All Intellectual Property developed under this Agreement will also belong exclusively to the Client.

 

6. Data and Financial Security: The Client is responsible for safeguarding all their data, including data accessible through the website, web hosting account, and Google accounts. The Company holds no liability for any losses or damages related to this data.

 

7. Limitation of Liability: The Company, its employees, officers, directors, or affiliated entities shall not be liable for indirect, incidental, special, consequential, or punitive damages. The total liability for any claim related to Company Services shall be limited to $250.

 

8. Marketing Materials: The Client grants the Company a non-exclusive, non-assignable license to use information about the Client's website for promotional purposes unless otherwise requested in writing.

 

9. Confidentiality: The Client agrees not to disclose or use Confidential Information of the Company without prior written authorization. Unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to the Company.

 

10. Warranty: The Company disclaims all express or implied warranties, except as expressly stated in this Agreement.

 

11. Indemnification: The Client shall indemnify the Company for losses, claims, damages, or penalties arising from any alleged breach of this Agreement or its representations and warranties.

 

12. Notices: All required notices must be sent via email to info@websforfree.com for the Company and to the Client's email address on file. It is the Client's responsibility to maintain an up-to-date email address with the Company.

 

13. Excusable Delays: Neither party is responsible for performance failures or delays due to circumstances beyond their control.

 

14. Survival: Certain terms, including confidentiality, indemnification, limitation of liability, and fee payments, will remain in effect even after the termination of this Agreement.

 

15. Entire Agreement: This Agreement supersedes all prior understandings, agreements, or representations between the parties.

 

16. Waiver: Any waiver of a default must be made in writing and will not waive any other default or provision. Failure to enforce any provision of this Agreement does not constitute a waiver.

 

17. Termination: This Agreement can be terminated at any time, with or without cause, by providing written notice to the other party.
